This License Agreement (“Agreement”) is entered into between Alan Billings Online LLC (“Licensor”) and the user (“Licensee”) accessing the templates and included files on www.alanbillings.com (“Website”).
1. Grant of License:
1.1. Access: Licensor grants Licensee a non-exclusive, non-transferable license to access to and use the templates, included files, and tutorial videos available on www.alanbillings.com, according to the Licensee’s subscription tier: Free Essential or Kick It Up A Notch Pro.
1.2. Scope of Use for Free Essential Subscribers: Free Essential subscribers have access to watch and rewatch all Free Essential tutorial videos and have access to all Free Essential files that may come with those tutorial videos until account cancellation according to the cancellation policy in the contract.
1.3. Scope of Use for Kick It Up A Notch Pro Subscribers: Kick It Up A Notch Pro subscribers have access to all Free Essentials content, in addition to Kick It Up A Notch Pro tutorials and the included files, as well as templates included as Kick It Up A Notch Pro.

Purchase-Only Templates and Tutorials And included Files
Any guest or subscriber who accesses or purchases a purchase-only template or tutorial (“Purchase-Only Content”) on www.alanbillings.com hereby agrees to adhere to the same licensing agreement outlined in this Agreement regarding the use of the Purchase-Only Content.
Licensee acknowledges that the Purchase-Only Content is subject to the same restrictions and terms of use as the templates, included files, and tutorial videos provided on www.alanbillings.com under the applicable subscription tier.
The Purchase-Only Content, being distinct from the content available under the subscription license, must either be purchased first or accessed through specific authorization granted by the Licensor. However, once accessed, Licensee shall abide by the same usage rights and restrictions as outlined in this Agreement.
Licensee shall not resell, distribute, or sublicense the Purchase-Only Content, whether as a whole file or separately, in violation of the licensing agreement.
By accessing or purchasing the Purchase-Only Content, Licensee agrees to be bound by the terms and conditions of this Agreement, and acknowledges that any violation of the licensing agreement may result in termination of access to the Purchase-Only Content and other consequences as outlined in this Agreement.
2. Restrictions:
2.1. No Resale: Licensee shall not resell, distribute, or sublicense the raw or original design of the templates or any included files, whether as a whole file or separately.
2.2. Files Available for Purchase: All files available for purchase on www.alanbillings.com can only be purchased and are not included in this subscriber’s license unless their user is granted access to these purchase-only tutorials or templates and including content..
3. Intellectual Property Rights:
3.1. Ownership: All templates, included files, and tutorial videos provided on www.alanbillings.com remain the sole property of Licensor.
4. Termination:
4.1. Termination of License: This license shall terminate upon cancellation of the subscription by Licensee, lack of payment, or actions by the administrator. Upon termination, Licensee’s access to the templates, included files, and tutorial videos on www.alanbillings.com shall cease.
4.2. No Returns: Licensor does not offer returns or refunds for subscription fees paid by Licensee. Licensee acknowledges that subscription fees are non-refundable, regardless of satisfaction with the templates, included files, and tutorial videos provided on www.alanbillings.com.
5. Disclaimer of Warranty:
5.1. No Warranty: Licensor makes no warranties, express or implied, regarding the accuracy, reliability, or suitability of the templates, included files, and tutorial videos provided on www.alanbillings.com.
6. Limitation of Liability:
6.1. Limitation: In no event shall Licensor be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use or inability to use the templates, included files, and tutorial videos provided on www.alanbillings.com.
7. Governing Law:
7.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict of law principles.
8. Entire Agreement:
8.1. Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written.
9. Modifications:

Access to the templates and included files on www.alanbillings.com is contingent upon acceptance of the terms and conditions outlined in this Agreement.
